Terms of Service

Introduction

These Terms of Service ("Terms") govern your access to and use of ContractSign, a digital contract signing platform operated by Happenings Group A/S (CVR 40979956) ("we", "us", "our").

By creating an account or using ContractSign, you agree to be bound by these Terms. If you are using ContractSign on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Definitions

  • "Platform" refers to the ContractSign web application, API, SDKs, and CLI tool.
  • "Customer" or "you" refers to the individual or entity that has registered for a ContractSign account.
  • "Workspace" refers to the organizational unit within ContractSign where contracts, templates, and team members are managed.
  • "Signer" refers to any individual invited to sign a document through ContractSign.
  • "Contract" refers to any document created, uploaded, or managed within ContractSign for the purpose of obtaining digital signatures.

Account terms

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must be at least 18 years old to create an account. One person or entity may not maintain more than one free account.

You are responsible for the activity of all team members you invite to your workspace. You must promptly notify us of any unauthorized use of your account.

Service description

ContractSign is a hosted software service for creating, managing, sending, and digitally signing contracts. The platform provides:

  • A rich text editor for drafting contracts and templates
  • Digital signing workflows with SMS OTP and optional MitID verification
  • Cryptographic audit trails for signed documents
  • PDF generation with embedded signature evidence
  • REST API, SDKs, and CLI for programmatic access (Platform and Enterprise plans)
  • Team management with role-based access control

Acceptable use

You agree not to use ContractSign for any unlawful purpose or in violation of these Terms. Specifically, you must not:

  • Upload or transmit content that is illegal, harmful, threatening, abusive, or fraudulent
  • Impersonate any person or entity, or falsely claim affiliation with any person or entity
  • Attempt to bypass rate limits, access controls, or signing safeguards
  • Use the platform to send unsolicited commercial communications (spam)
  • Interfere with or disrupt the platform or servers connected to the platform
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use automated means to access the platform beyond the documented API

We may suspend or terminate accounts that violate these rules without prior notice.

Subscriptions & billing

ContractSign offers both free (Starter) and paid plans (Professional, Platform, Enterprise). Paid plans are billed monthly and are non-refundable except as required by law.

Prices are stated in Danish Kroner (DKK) excluding VAT. VAT will be added where applicable. We may change prices with 30 days' notice.

If payment fails, we will notify you and provide a grace period before downgrading or suspending your account. You are responsible for keeping your payment information current.

You may upgrade or downgrade your plan at any time. Changes take effect at the start of the next billing period.

Intellectual property

ContractSign, including its source code, design, logos, and documentation, is the property of Happenings Group A/S and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the platform in accordance with these Terms and your subscription plan.

Data ownership

You retain all ownership rights to the content you create, upload, or process through ContractSign. We claim no intellectual property rights over your contracts, templates, or data.

You grant us a limited license to store, process, and display your content solely to provide the service. This license terminates when you delete your content or close your account.

Service availability

We strive to maintain high availability but do not guarantee uninterrupted access. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

For customers on Enterprise plans, specific uptime commitments are defined in the applicable Service Level Agreement (SLA).

Limitation of liability

To the maximum extent permitted by law, ContractSign and Happenings Group A/S shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claims arising under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.

Nothing in these Terms limits liability for fraud, gross negligence, or liability that cannot be excluded by law.

Indemnification

You agree to indemnify and hold harmless Happenings Group A/S from any claims, damages, or expenses arising from your use of the platform, violation of these Terms, or infringement of any third-party rights.

Termination

You may close your account at any time through the platform settings. Upon closure, your data will be scheduled for deletion in accordance with our data retention policy.

We may terminate or suspend your account if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.

Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

Changes to these Terms

We may modify these Terms at any time. Material changes will be communicated via email or a notice within the platform at least 30 days before they take effect.

Continued use of ContractSign after changes take effect constitutes acceptance of the updated Terms.

Governing law & disputes

These Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising under these Terms shall be submitted to the courts of Aarhus, Denmark.

If you are a consumer within the EU, you retain any mandatory consumer protection rights granted by the laws of your country of residence.
